Governing Standard: TF-MSA-2026
These Terms of Business govern all public use of twistedflip.co.uk and establish the legal framework for services provided by TwistedFlip Limited ("Agency", "we", "us").
Pursuant to Section 1 of our standard Master Agreement (TF-MSA-2026), commercial contracts do not require wet-ink execution. Clients are deemed to have irrevocably accepted these terms upon:
Remitting payment for any commencement deposit (including 50% Stage 1 deposits), invoice installment, or retainer fee;
Providing written instruction to proceed via email, SMS, or messaging app;
Supplying project credentials, branding files, or domain DNS access; or
The passage of five (5) business days following receipt of an active Quotation or Statement of Work without formal written objection.
We deliver digital engineering across four structured commercial modules:
Module A (Website Design & Build): Bespoke WordPress/Breakdance builds, conversion-focused landing pages, multi-area SEO hubs, and sub-second architecture.
Module B (Managed Cloud Infrastructure & Care): NVMe cloud hosting, daily backups, core software updates, and SSL administration.
Module C (Local Search Engine Optimisation): Technical on-page optimisation, Google Business Profile management, local citation audits, and structured schema markup.
Module D (Conversion Add-ons & Ad-Hoc): Custom CRM portals, automated dispatch workflows, call tracking integration, and development consultation.
Milestone Structure: Build projects operate on a phased structure: a 50% Stage 1 commencement deposit prior to work starting, and a 50% Stage 2 final balance due upon approved staging handover prior to public DNS cutover.
Retainers & Cancellation: Monthly hosting, care, and SEO retainers are billed in advance via BACS or automated Direct Debit and require thirty (30) days prior written notice for cancellation.
Late Invoices: Invoices unsettled past fourteen (14) calendar days accrue statutory interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998 at 8% per annum above the Bank of England base rate. We reserve the right to pause active development or suspend cloud access on delinquent accounts.
Project Dormancy: If a client fails to provide necessary assets, text content, or review approvals for thirty (30) consecutive calendar days, the project is marked inactive. Reactivating a dormant project incurs an administrative resumption fee of £150.00.
Client Deliverables: Conditioned upon full and final settlement of all invoices, TwistedFlip assigns to the client all proprietary rights to custom front-end website designs, bespoke page templates, written copy, and vector graphics specifically produced for the project.
Background Frameworks: Open-source code (WordPress), underlying builder frameworks (Breakdance), third-party plugins, and proprietary Agency development modules remain licensed under their respective agreements and are not assigned exclusively.
Portfolio Use: TwistedFlip reserves the customary right to display non-confidential project screenshots, performance metrics, and search case studies in Agency portfolios, awards, and marketing materials.
While TwistedFlip implements strict code-level optimisation and current white-hat SEO best practices, search engine algorithms (including Google) autonomously govern organic index placement. TwistedFlip does not guarantee specific #1 keyword positions or fixed search traffic volumes.
Third-party software updates, third-party API changes, or unauthorized modifications made by client personnel that disrupt website performance fall outside standard build warranties.
For clients enrolled in an Active Care or Managed Cloud Retainer, TwistedFlip targets a 99.9% server availability SLA (excluding pre-announced 48-hour maintenance windows). Technical support inquiries directed to support@twistedflip.co.uk are triaged by severity: critical system outages within 4 business hours; standard configuration tasks within 24 to 48 business hours.
To the maximum extent permitted by English law, the aggregate financial liability of TwistedFlip Limited for any claim arising under contract, tort (including negligence), or statutory duty shall strictly not exceed the total fees paid by the Client to TwistedFlip under the applicable Statement of Work in the three (3) months preceding the claim. In no event shall TwistedFlip be liable for indirect losses, business downtime, or consequential loss of anticipated profits.
These Terms and any contractual or non-contractual dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
